Washington SB6358 revokes corporate powers, limiting entities to powers expressly granted by law.
Washington SB6358 revokes all corporate powers granted by state law, including limited liability and perpetual duration. Corporations, nonprofit corporations, limited liability companies, limited partnerships, and limited liability partnerships will only possess powers specifically granted by law. Election and ballot measure activities by foreign or out-of-state corporations are deemed business transacting in the state. Any corporate act outside granted powers is void. The act constitutes a new chapter in Title 23B RCW.
