Oklahoma HB3498 amends the Oklahoma General Corporation Act and Oklahoma Limited Liability Company Act to clarify corporate powers, validate defective corporate acts, and update definitions. The bill grants corporations perpetual succession, the ability to sue and be sued, and to purchase, lease, or exchange property or assets without shareholder consent under certain conditions. It also allows for the validation of defective corporate acts and putative stock, provided certain conditions are met.
