Louisiana HB1096 modifies the process for adopting, amending, and repealing bylaws of electric cooperatives. Currently, bylaws can be adopted, amended, or repealed by the members or the board of directors. The bill changes this to allow bylaws to be adopted, amended, or repealed by the board of directors unless otherwise specified in the bylaws. However, only the members can amend the bylaws when the amendment concerns the dissolution of the cooperative or the sale, lease, or other disposition or encumbrance of all or any substantial portion of property belonging to the cooperative.
