Empowering Shareholders Act of 2026 amends the Investment Advisers Act of 1940 to establish proxy voting requirements for passively managed funds.

The Empowering Shareholders Act of 2026 amends the Investment Advisers Act of 1940 to establish requirements for proxy voting of passively managed funds. Investment advisers must provide voting persons with a form to select a published voting policy. Advisers must also disclose voting policies and coordinate votes with other index managers. The bill exempts foreign private issuers if their voting policies are fully disclosed. The amendments take effect one year after the enactment of the Act.
